Terms of Service

These terms ("Terms") govern your access to and use of services provided by Company Name (company number Company Number, registered in England and Wales, with registered address at Registered Address) — including stratos-trading.com, the StratOS web app at app.stratos-trading.com (the "Web App"), the StratOS Companion App, StratOS Trading Dashboard, Chrome extension, and any future products we offer (collectively, the "Services").

By creating an account, purchasing a subscription, or using any of the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. The Services

We provide software tools for technical analysis, strategy optimisation, backtesting, and trade routing aimed at active retail traders. We are a software vendor only — we do not provide investment advice, hold customer funds, or place trades on your behalf. See our Trading Disclaimer for the full risk warning, which is incorporated into these Terms by reference.

2. Eligibility

You must be: - At least 18 years of age (or the age of majority in your jurisdiction, if higher) - Legally able to enter into binding contracts - Not subject to sanctions or trade restrictions under UK, EU, or US law - Not located in a jurisdiction where use of the Services would be illegal

3. Account, subscription, and billing

Subscriptions are sold via our payment partner Whop Inc. ("Whop"). By purchasing, you also agree to Whop's terms. Whop processes payment, billing, refunds, and chargebacks; we receive the net amount.

Tiers and pricing: as listed at stratos-trading.com/pricing. We may change pricing on 30 days' notice for new subscriptions; existing subscriptions continue at their current price until renewal.

Renewal: subscriptions auto-renew at the same interval (monthly or annual) until you cancel. Cancel at any time via your Whop dashboard.

Refunds: see our Refund Policy. In summary: 7-day refund on first-time purchases if you have not actively used the optimisation features. No refunds for renewals or for subsequent subscriptions on the same account.

Taxes: prices are inclusive of UK VAT where applicable. For purchases in other jurisdictions, you are responsible for any local taxes, duties, or fees.

4. Licence to use the Services

Subject to your compliance with these Terms and continued subscription payment, we grant you a non-exclusive, non-transferable, revocable licence to:

• Install and run the desktop applications on machines you control
• Access the Web App, the website and any hosted features that come with your tier
• Use the strategy setfiles, indicators, and other materials supplied with your tier — solely for your own personal or business trading

You may NOT:

• Share, resell, sub-licence, redistribute, lease, or lend the Services to any other person
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the desktop applications (except to the limited extent allowed by applicable mandatory law)
• Use the Services to provide a competing service, signal-selling business, copy-trading service to non-licensees, or managed-account service
• Use the Services in a manner that violates any law, regulation, broker terms, or exchange rules
• Bypass, disable, or interfere with the licence-validation system, tier gating, or any other technical protection
• Use automated means (bots, scrapers) against our website or APIs except where explicitly permitted

Desktop licences are bound to the machine(s) where they are activated, and we use a machine-identifier system to enforce this. Web App accounts are for one person. Sharing your licence key or Web App login with others is a material breach of these Terms.

4A. The Web App

Fair use. Each tier includes the optimisation capacity and AI allowance described on our pricing page. To keep the service fast for everyone, we may queue, slow or limit jobs that go beyond fair use (for example, running searches non-stop or automating the Web App). Where we change a published allowance, we'll give you at least 14 days' notice.

AI features. The AI assistant can make mistakes. Its explanations and the strategies it builds are starting points for your own research, not advice. Backtest figures in the Web App are calculated by our engine, not by the AI. Check any strategy yourself before trading it.

Your content. You keep ownership of the strategies, code and data you put into the Web App ("Your Content"). You grant us a limited licence to host, process and display Your Content only to provide the Services to you. You confirm you have the right to use any code you upload (for example, Pine Script you didn't write may be under its author's licence).

Connected accounts and data. If you connect a third-party account (for example a Databento or Anthropic API key), your use of that provider is under your own agreement with them, including any data-licence terms and charges. The Web App shows the cost of a data download before making it, but any charges on your third-party account are yours. Data fetched with your key is used only for your workspace.

Built-in market data is licensed to us for use inside the Services only. You may view charts and results, but you may not export, scrape or redistribute raw market data.

Export and deletion. You can export or delete your workspace at any time. When your subscription ends, we keep your workspace for 30 days in case you resubscribe, then delete it.

5. Setfiles and strategy content

Subscribers on appropriate tiers receive access to pre-optimised strategy parameter sets ("setfiles") and accompanying analytics. These remain our intellectual property and are licensed for your personal trading use only. You may not:

• Publish, share, post, or distribute any setfile to third parties
• Use setfiles in a service you provide to others (e.g. signal services, copy-trading)
• Reverse-engineer the underlying strategy logic from setfile values

Setfiles are made available "as is" with no representation that they will perform profitably. See the Trading Disclaimer.

6. Intellectual property

We retain all rights, title, and interest in the Services and all associated intellectual property — software, designs, content, trademarks, strategy logic, setfiles, documentation, and the StratOS name and branding. Nothing in these Terms transfers any IP rights to you.

You retain ownership of any data you input into the Services (your strategies, backtest data, configuration files). We make no claim to your personal trading data.

7. Your responsibilities

You are responsible for: - Maintaining the confidentiality of your licence key and account credentials - Configuring the desktop applications correctly and verifying their output, and any Web App result, before placing real trades - Your compliance with broker terms, exchange rules, and laws applicable to your trading - Maintaining your own backups of important configuration and trade data - Ensuring your computer and any VPS you use is secure

8. Suspension and termination

We may suspend or terminate your access to the Services immediately, without refund, if:

• You materially breach these Terms (including licence-sharing or attempted reverse-engineering)
• You initiate a chargeback against a legitimate purchase
• Continued provision would expose us to legal, regulatory, or reputational risk
• You engage in fraud, abuse of support staff, or any unlawful conduct

You may terminate at any time by cancelling your subscription via Whop. On termination, your licence to use the Services ends; you must uninstall the desktop applications, and your Web App workspace is deleted as described in section 4A.

9. Service availability and changes

We do not guarantee uninterrupted availability. We may: - Modify, add, or remove features at any time with reasonable notice for material changes - Schedule maintenance windows - Suspend the Services in response to security incidents, abuse, or legal obligations

We are not liable for any losses arising from service interruption — including but not limited to missed trade signals, late copy executions, or webhook delivery failures.

10. Limitation of liability

(Full version in our Trading Disclaimer. Short version: our total liability to you is capped at the fees you paid us in the prior 12 months or £100, whichever is greater. We exclude liability for indirect, consequential, and trading-related losses to the maximum extent permitted by law.)

11. Privacy

We handle your personal data in line with our Privacy Policy. Using the Services constitutes acceptance of that policy.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email to your Whop-registered address and posted at stratos-trading.com/terms at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance.

13. Governing law and disputes

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute.

For consumers in the EU, this does not affect any mandatory consumer-protection rights you have under the laws of your country of residence.

14. Miscellaneous

• Entire agreement: these Terms, plus the Trading Disclaimer, Privacy Policy, and Refund Policy, are the full agreement between you and us
• Severability: if any clause is held unenforceable, the rest stays in effect
• No waiver: our failure to enforce any clause is not a waiver of that clause
• Assignment: you may not assign these Terms; we may assign to a successor entity in a corporate transaction
• Force majeure: neither party is liable for failure to perform due to events outside reasonable control
