End User Licence Agreement (EULA)

This End User Licence Agreement ("EULA") is a binding contract between you ("Licensee", "you") and Company Name (company number Company Number, registered in England and Wales, with registered address at Registered Address) ("Licensor", "we", "us") for the use of the StratOS desktop applications — the StratOS Companion App and StratOS Trading Dashboard ("Software").
By installing or running the Software you accept this EULA. If you do not accept, do not install or use the Software.
1. Licence grant
Subject to your active StratOS subscription and compliance with this EULA, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to:
- Install the Software on Windows machines you own or control
- Use the Software for your own personal or business trading activity
- Use any setfiles, indicators, configurations, or other content delivered to your tier
The number of machines on which you may concurrently activate the Software is limited per your subscription tier and enforced by our licence-validation system.
2. Restrictions
You may NOT:
- Copy, reproduce, distribute, publish, sub-licence, sell, rent, lease, or lend the Software or any setfiles to any third party
- Modify, adapt, translate, or create derivative works of the Software
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or strategy logic of the Software, except to the limited extent permitted by mandatory applicable law
- Remove, alter, or obscure any proprietary notices, labels, or markings in or on the Software
- Use the Software for any unlawful purpose or in a way that violates broker terms, exchange rules, or applicable securities laws
- Use the Software to provide a competing service, paid signal service, copy-trading service for non-licensees, or managed-account service
- Bypass, disable, or interfere with any technical protection measures (licence validation, tier gating, version checking, integrity hashes)
- Share your licence key with any other person or use a single licence on more machines than your tier permits
- Use automated tools to interact with our licence server or content-delivery system except as the Software does in normal operation
3. Ownership
The Software, all setfiles, and all related materials are licensed, not sold. We retain all right, title, and interest in:
- The Software's source and compiled code
- All algorithms, methods, and strategies embodied within it
- All visual designs, names, logos, and marketing materials
- All setfiles, optimisation outputs, and analytical content we deliver
You retain ownership of any data you generate using the Software — your own backtest configurations, strategy parameters you devise yourself, trade logs, and so on. We make no claim to your trading data or personal strategies.
4. Updates
We may issue updates, patches, or new versions of the Software at our discretion. Updates may be required to maintain access to the Services (e.g. if backend APIs change). You agree that:
- The Software may check periodically for new versions
- We may publish a "minimum supported version" below which the Software refuses to start, in response to security vulnerabilities or breaking API changes
- Updates may add, change, or remove features
5. Data collected by the Software
The Software:
- Stores all strategy data, configuration, and trade results locally on your machine (in
%APPDATA%\StratOS\) - Sends to our backend only: your licence key, a randomly-generated machine identifier, version information, and similar metadata necessary to validate your subscription and deliver updates / setfiles
The Software does not transmit your strategies, P&L, broker credentials, or trade data to us. See our Privacy Policy for full detail.
6. Third-party components
The Software is built on open-source components including Python, FastAPI, Streamlit, MetaTrader 5 Python integration, and others, each under their respective licences. A complete list of third-party components and their licences is available on request via Support Email.
7. Disclaimer of warranties
The Software is provided "AS IS" and "AS AVAILABLE" with all faults. To the maximum extent permitted by law, we disclaim all warranties — express, implied, statutory, or otherwise — including any warranty of:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy of results, profitability of strategies, or any specific performance outcome
- Uninterrupted, error-free, or secure operation
Nothing in this EULA excludes liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under UK law.
8. Limitation of liability
See the limitation of liability in our Trading Disclaimer, which is incorporated here by reference. In summary: our total liability is capped at the greater of the fees you paid in the 12 months prior to the claim or £100, and we exclude indirect / consequential / trading-related losses.
9. Termination
This EULA terminates automatically if:
- Your subscription lapses or is cancelled
- You breach any term of this EULA
- We elect to discontinue the Software (with reasonable notice)
On termination, you must immediately:
- Stop using the Software
- Uninstall it from all machines
- Delete any setfiles and other licensed content delivered to you
Clauses that by their nature should survive termination (ownership, liability, disclaimers, dispute resolution) will continue in effect.
10. Export control
You agree not to use, export, or re-export the Software in violation of any applicable laws or regulations, including UK, EU, and US export control regulations.
11. Governing law and jurisdiction
This EULA is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising from or related to this EULA, except where overriding consumer-protection law in your jurisdiction grants you the right to bring proceedings locally.
12. Entire agreement
This EULA, together with our Terms of Service, Privacy Policy, Refund Policy, and Trading Disclaimer, constitutes the entire agreement between you and us regarding the Software. In case of conflict, the Trading Disclaimer's risk warnings take precedence on trading-related matters; otherwise, the most-recent updated document prevails.
